Terms of Use

Please read these Terms carefully before using MindBridge. By downloading or using the app, you agree to be bound by these Terms.

Section 01

Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MindBridge ("we," "us," or "our"), governing your access to and use of the MindBridge mobile application and related services (collectively, the "Service").

By downloading, installing, accessing, or using MindBridge, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

Important: These Terms include a disclaimer of warranties, limitation of liability, and a statement that MindBridge is not a medical service. Please read Sections 7, 10, and 11 carefully.


Section 02

Service Description

MindBridge is a mental health support mobile application available on iOS and Android. The Service provides:

  • An AI-powered chat interface offering psychoeducation and guided exercises based on Cognitive Behavioural Therapy (CBT) and Dialectical Behaviour Therapy (DBT) frameworks
  • Daily mood tracking and weekly summary reporting
  • PHQ-9 (depression) and GAD-7 (anxiety) standardized assessment tools
  • A library of mental health exercises that therapists can assign to patients
  • A therapist dashboard for monitoring patient engagement, mood trends, and clinical scores
  • Crisis detection and 9-8-8 Suicide Crisis Helpline resources
  • A patient invitation and onboarding system for licensed therapists

The Service is built on a HIPAA-compliant backend hosted on Railway, using PostgreSQL for data storage and Anthropic's Claude AI model for chat functionality.


Section 03

Eligibility

To use MindBridge, you must meet the following eligibility requirements:

  • Age: You must be at least 18 years of age. MindBridge is not intended for use by minors.
  • Patients: You must be an individual seeking mental wellness support and have been invited to the platform by a licensed mental health professional using MindBridge.
  • Therapists: You must be a licensed mental health professional (e.g., psychologist, registered social worker, registered psychotherapist, or equivalent) in good standing with your licensing body. By registering as a therapist, you represent and warrant that you hold a valid, current professional license.
  • Jurisdiction: You must be located in a jurisdiction where accessing the Service is permitted by law.

We reserve the right to verify eligibility and to refuse or revoke access to any user who does not meet these requirements.


Section 04

User Accounts

To access MindBridge, you must create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Keep your password and authentication credentials confidential
  • Enable multi-factor authentication (MFA) if prompted or available for your account type
  • Notify us immediately at support@mindbridgecare.com of any unauthorized use of your account or any other security breach
  • Accept responsibility for all activity that occurs under your account

You may not create an account on behalf of another person without their explicit consent. You may not share your account credentials with any other person. Each user must maintain their own individual account.

We reserve the right to suspend or terminate accounts that we believe have been compromised, misused, or that violate these Terms.


Section 05

Patient Terms

As a patient user of MindBridge, you understand and agree to the following:

  • Therapist Access: Your mood data, assessment scores, AI chat crisis flags, exercise activity, and other clinical data will be visible to the licensed therapist who invited you to the platform. By accepting your therapist's invitation, you consent to this data sharing.
  • Informed Use: You acknowledge that the AI chat feature is a supportive tool and not a replacement for your licensed therapist's professional services.
  • Crisis Resources: In a mental health emergency, you agree to use the crisis resources provided in the app (9-8-8 Lifeline) or contact local emergency services (911) rather than relying solely on the app's AI chat.
  • Accurate Information: You agree to provide truthful information in mood check-ins and assessments to the best of your ability, as this data informs your therapist's clinical monitoring.
  • Communication: MindBridge does not support direct real-time messaging between patients and therapists. The app is a between-session support tool, not an emergency communication channel.

Section 06

Therapist Terms

As a therapist user of MindBridge, you understand and agree to the following:

  • Professional Responsibility: You remain solely responsible for your professional obligations under applicable law, your licensing body's standards of practice, and your duty of care to your clients. MindBridge is a monitoring and support tool — it does not replace clinical judgment.
  • Informed Consent: You are responsible for obtaining appropriate informed consent from patients before inviting them to MindBridge, including consent for their data to be stored on the platform and visible to you.
  • Crisis Response: While MindBridge will flag potential crisis indicators and alert you, you remain responsible for appropriate crisis response protocols. The platform's crisis detection is a tool to assist — not replace — your professional crisis intervention responsibilities.
  • Patient Invitations: You may only invite individuals who are your active patients and who have consented to using MindBridge as part of their care. You must not invite individuals for purposes unrelated to mental health care.
  • License Verification: By registering as a therapist, you represent that you are a licensed mental health professional in good standing. We reserve the right to request verification of your license at any time.
  • Data Access: You may only access patient data for patients you are actively treating. Accessing data of former patients without a legitimate clinical reason is prohibited.

Section 07

Not a Medical Service

Critical Notice: MindBridge is a mental wellness support application, not a medical device, clinical service, or substitute for professional mental health treatment. Nothing in the Service constitutes medical advice, psychiatric diagnosis, or a therapeutic relationship with MindBridge.

Specifically:

  • The AI chat feature provides psychoeducational content and guided exercises based on CBT/DBT frameworks. It is not a licensed therapist and does not form a therapeutic relationship with users.
  • PHQ-9 and GAD-7 assessments are standardized screening tools provided for informational purposes. Scores displayed do not constitute a clinical diagnosis.
  • MindBridge is not designed for, and must not be used in, acute psychiatric emergencies. If you are experiencing a mental health emergency, call 9-8-8 or 911 immediately.
  • MindBridge does not replace, supplement, or constitute a substitute for diagnosis, treatment, or advice from a qualified and licensed healthcare provider.

Always seek the advice of a qualified mental health professional with any questions you may have regarding your mental health condition or treatment. Never disregard professional advice or delay seeking it based on content provided by MindBridge.


Section 08

Acceptable Use

You agree to use MindBridge only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or our servers and systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
  • Transmit any material that is abusive, harassing, defamatory, obscene, fraudulent, or otherwise objectionable
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Submit false or misleading information, including misrepresenting your status as a licensed mental health professional
  • Use the Service to conduct commercial activities not expressly authorized by us
  • Upload, transmit, or distribute any malware, viruses, or malicious code
  • Attempt to interfere with, disrupt, or disable the Service or servers connected to the Service
  • Scrape, crawl, or otherwise extract data from the Service through automated means
  • Use the AI chat feature to generate harmful, dangerous, or illegal content

Violation of this Acceptable Use policy may result in immediate account suspension or termination without notice.


Section 09

Intellectual Property

The MindBridge application, including its design, code, content, trademarks, and all other intellectual property, is owned by MindBridge and its licensors. All rights are reserved.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes, subject to these Terms.

You retain ownership of content you submit to the Service (such as mood notes and session content). However, by submitting content, you grant us a limited license to store, process, and display that content for the purpose of delivering the Service to you and your healthcare providers.

You may not copy, reproduce, distribute, publish, or create derivative works from any part of the Service without our express written consent.


Section 10

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, completeness, or reliability of any content provided through the Service
  • Warranties that the AI chat feature will always provide safe, appropriate, or helpful responses

We do not warrant that the Service will meet your specific mental health needs or produce any particular therapeutic outcome. Mental health outcomes depend on many factors outside our control.

Crisis Disclaimer: While MindBridge includes crisis detection features, these are supplementary tools and are not guaranteed to detect all crisis situations. MindBridge must not be relied upon as a crisis intervention service. If you or someone you know is in crisis, call 9-8-8 or 911.


Section 11

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MINDBRIDGE, ITS DEVELOPERS, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE.

This includes, without limitation, damages for:

  • Loss of data, profits, revenue, goodwill, or business opportunity
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party within the Service
  • Any matter related to your mental health outcomes or treatment
  • Service interruptions or failures, including failure of crisis detection features

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING YOUR CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow certain limitations of liability. If applicable laws in your jurisdiction do not allow these limitations, they may not apply to you.


Section 12

Termination

Either party may terminate the user relationship at any time:

  • By You: You may stop using the Service and delete your account at any time through the Profile screen in the app or by contacting us at support@mindbridgecare.com.
  • By Us: We reserve the right to suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms, pose a risk to other users or the platform, or for any other reason at our sole discretion.

Upon termination:

  • Your access to the Service will cease immediately
  • Your data will be retained as described in our Privacy Policy (Section 7 of the Privacy Policy) and as required by applicable law
  • Sections of these Terms that by their nature should survive termination shall survive, including Sections 9, 10, 11, and 13

If you are a therapist and your account is terminated, your linked patients will be notified and will retain access to their own health data.


Section 13

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to the personal jurisdiction and venue of these courts.

Notwithstanding the above, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use or infringement of intellectual property rights.


Section 14

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify active users via email or in-app notification at least 14 days before the changes take effect
  • For significant changes affecting core rights or obligations, require re-acceptance of Terms upon next login

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and delete your account.
